Board of Directors Meeting
May 21, 2024

Cindy Toscano called the meeting to order at 7:07 pm. A quorum was present.
Approval of March 19, 2024 board meeting minutes –a motion was made by Rick Hoover and 2nd by Mike Blair. All in favor.
President’s Report May 2024
May is here and our habitat is greening and blossoming! The pool cover is off. The deck, chairs, tables, and umbrellas are being power washed as preparations for the official opening of our pool are underway. We are excited for our residents to enjoy the pool season starting Saturday, May 25th! Celebrate the pool opening and Memorial Day Weekend by attending the barbecue hosted by the Events Committee on Saturday May 25th from 3 to 6 PM on the clubhouse lawn with a rain date for Sunday. Sign up with our office today and bring the whole family. There will be lawn games, music, and great food.
Our annual nominations for the Board of Directors is fast approaching on June 1st. Owners in good standing may nominate another member or themselves for the two open board seats in our upcoming annual election this year. The Nominations Meeting starts Saturday, June 1st, at 10 AM in person or via Zoom at the clubhouse. If you have any questions concerning the requirements of being a board member, including the new Corporate Transparency Act, please contact our Community Manager, Scott. The Events Committee is hosting a Pizza and Ice Cream party following the meeting, so be sure to sign up to attend that event.
We are happy to welcome so many new members into our community and want to reiterate the many ways each of you can participate in shaping this community into a place we can all be proud to call home. We have multiple different committees that support the community and board and are always looking for new volunteers! Are you good at posting on social media or updating websites? Are you known for your fantastic food and parties? Do you have a head for numbers or enjoy reviewing policies and procedures? Then think about joining a committee! We have openings on several volunteer committees including events, finance, nominations & elections, and communications. Make a lasting impact on our community and be part of the future.
A gentle reminder that from Memorial Day weekend through Labor Day weekend, the association does not allow construction activities which require a permit on Saturdays and Sundays. This would include roofing, deck alteration or construction, window and door replacements, and tree cutting just to name a few. This ban is part of our restrictive covenants, filed with everyone’s deeds here. Please be a good neighbor and avoid unnecessary citations by adhering to this rule. Your Board of Directors is always open to considering the process to change our restrictive covenants, but this requires wholesale participation from all of you and cannot be changed by the Board alone.
Congratulations to our Assistant Community Manager, Amy Sunbury, on passing her M-100 exam and becoming certified in the Essentials of Community Association Management! We are proud of all our staff working here and celebrate their accomplishments!
On a final note, I would like to thank the residents who act with kindness and integrity. In a world where there are far too many toxic people, having members that participate in the community in a right-minded way should be celebrated. The character traits of grace, patience, reliability, humility, honesty, and respect are in short supply these days. Being able to say that we have so many residents that do not lower themselves to participating in the vitriol and gossip is truly noteworthy, and another reason we can all be proud of where we live.

Voting period will last from June 1st to August 3rd.
Old Business
Collection Update
We continue to aggressively go after those who owe the association money. Doing all we can to try to minimize legal cost where possible. We will continue to do this each month.
Bylaw Amendment
As part of the lawsuit settlement negotiated last year, the association is obligated to legally amend our current Bylaws. We tried to do this earlier this year, and it failed due to lack of membership vote participation. The feedback we received from many of you is that the amendments were too numerous and complicated. Therefore, your Board of Directors is focusing on just one proposed amendment as follows.
Article 19 Section 1 establishes the procedure for amending the By-Laws. It is proposed the first sentence be amended to change the percentage of affirmative votes be required to amend the By-Laws from two-thirds (2/3) to at least fifty-one percent (51%). Recording of the By-Laws is not required in Pennsylvania, so this language was also removed, as was language related to Declarant (developer) amendment of the Bylaw, as this is moot.
It is vital that all members participate in voting on this proposed amendment. For this amendment to pass, we need 67 percent of all eligible members to vote in favor of this amendment which would lower the threshold for future amendment to a simple majority of 51 percent. Please look for an online voting email from Election Buddy starting June 3rd. Online voting for this amendment will be open until August 3rd.
New Construction Update
Had a delayed start due to a few setbacks but now in the early beginning stage.
Leaf Pile
The leaves have been pushed back but we are in need of a permanent solution. Looking into possibly purchasing a bobcat so we could possibly move our leaves. We will look into pricing by July meeting to see if this option is feasible.
In the meantime, we are painting a yellow line for the leaf zone so residents can properly identify where the leaves must be placed and implementing a fine for those who do not dispose of their leaves properly.
Pool
The entire pool area and furniture are power washed, and we are ready for our 2024 pool season.

New Business
Contract Renewals
SafePassage
Our contract with SafePassage is up in September 2024. We are looking to set up a meeting to see if SafePassage is willing to renegotiate since our 1yr discount is coming to an end. If they are not willing to renegotiate, we will look to put this out to bid.
AAF
Currently we are paying $172,000 and this contract is up in October. Need RFPs to be submitted in June.
Truck lease
Our lease is up in October 2024. We are discussing to buyout the lease vs leasing another vehicle. This will be discussed further at the next meeting.
Recreation behind the mailboxes
We would like to put up grills and picnic tables for our residents to use at their leisure in the grass area behind the mailboxes. We currently have 2 existing picnic tables.
A motion was made to purchase and install 3 grills and purchase 1 additional picnic table by Kristen Martin; the motion was 2nd by Mike Blair. All in favor.
Outdoor speakers
We would like to purchase a passive speaker and amplifier for the music playing outside by the pool area. Will research further and look at price options to vote at future meeting.
Camera Addition to parking lot
We are considering getting an additional camera to place at the stop sign exiting the clubhouse parking lot. Received many complaints about speeding and people running this stop sign.
Will investigate the price and revisit this at next meeting.
Compactor
We had to do an emergency shut down on the compactor. The concrete pads that the compactor rests on broke and need to be repaired.
A motion was made to pay for the repair of the compactor pads and labor by Rick Hoover; the motion was 2nd by Mike Blair. All in favor.
A motion was made to close the meeting by Cindy Toscano; the motion was 2nd by Rick Hoover. Meeting adjourned at 8:57 pm.
